SYNOPSIS OF AN ORDINANCE WHEREBY THE CITY OF OPELIKA, ALABAMA, GRANTS TO SPIRE ALABAMA, INC.,
THE NON-EXCLUSIVE RIGHT TO USE THE RIGHTS-OF-WAY TO CONSTRUCT, ERECT, INSTALL, RENEW, REPAIR, MAINTAIN AND OPERATE A PLANT OR SYSTEM FOR THE MANUFACTURE AND/OR DISTRIBUTION AND/OR SALE OF NATURAL GAS SUBJECT TO THE TERMS AND CONDITIONS OF THE ORDINANCE
- On April 7, 2020, the City Council of the City of Opelika, Alabama, adopted Ordinance No. 009-20, the purpose of which is to grant to Spire Alabama, Inc., an Alabama corporation (“Spire-A) for a thirty (30) year period from the effective date, the non-exclusive right to utilize the rights-of-way in the corporate limits of the City of Opelika, Alabama (the “City”) in order to construct, erect, install, renew, repair, maintain and operate a plant or system for the manufacture and/or distribution and/or sale of natural gas in accordance with and subject
to the terms and conditions of the ordinance. - As compensation for the use of the public ways and rights-of-way, Spire-A is to pay to the City a franchise fee equal to one percent (1%) of its gross annual revenues for each calendar year so long as the ordinance shall be effective. Spire-A is also required, among other requirements, to indemnify the City and maintain certain types of insurance coverage.
